ECOGAS Inversiones informó que se han obtenido todas las aprobaciones administrativas para la operación de escisión-fusión con Central Puerto (CEPU). La “Fecha Efectiva de Reorganización Societaria” será el 1 de octubre de 2025, según el Acuerdo Definitivo de Reorganización Societaria firmado el 17 de junio de 2025.
En esa fecha, ECOGAS recibirá el patrimonio escindido de CEPU, incluyendo acciones de CEPU, Energía Sudamericana S.A. y Distribuidora de Gas del Centro S.A., además de $305 millones en efectivo. Se cancelarán las acciones Clase “A” de ECOGAS y se emitirán 80.973.264 nuevas acciones Clase “D” para los accionistas de CEPU, según la relación de canje de 1 acción Clase “D” por cada 18,6694 acciones de CEPU.
Las participaciones a través de ADRs CEPU serán gestionadas por JPMorgan y podrán transformarse en Global Depositary Receipts (GDRs) de ECOGAS para inversores elegibles, cumpliendo con la Regulación S y la Regla 144A de EE. UU. El nuevo capital social de ECOGAS será de $250.217.264 tras la reorganización.
